BI, Sino Biopharmaceutical in $7.4-Bn for ADCs, T-Cell Engagers

Boehringer Ingelheim (BI) and Sino Biopharmaceutical, a Hong Kong-based bio/pharmaceutical company and its subsidiaries (collectively, SBP Group), have formed a multi-program option and license agreement for antibody-drug conjugate (ADC) and T-cell engagers technologies for treating cancer, in a deal worth up to $7.4 billion ($385 million upfront and up to $7 billion in option-exercise and milestone payments).

The collaboration covers six biologic preclinical programs. Five programs center on LaNova Medicines (Shanghai) Co., Ltd, a wholly owned SBP Group subsidiary. The remaining program comes from Beijing Tide Pharmaceutical Co., Ltd., another SBP Group subsidiary.

Under the agreement, SBP Group will undertake early development. After agreed clinical milestones are reached, BI may exercise options for exclusive development, manufacturing, and commercialization rights outside mainland China, Hong Kong, and Macau for four programs, and worldwide rights for the remaining two programs.

Under the agreement, SBP Group will receive upfront and near-term payments of $358 million and is eligible to receive potential option-exercise, development, regulatory, and commercial milestone payments of $7 billion as well as tiered royalties on potential future product sales.
