GSK Completes $10.6-Bn Acquisition of Nuvalent 

GSK has completed its $10.6-billion acquisition of Nuvalent, a Boston-based clinical-stage bio/pharmaceutical company focused on oncology therapies. 

Nuvalent is developing small molecules that are designed to overcome the limitations of existing therapies for clinically proven kinase targets. Its main assets are zidesamtinib and neladalkib, respectively two late-stage ROS1 and ALK inhibitors for treating non-small cell lung cancer (NSCLC). Both assets have received US Food and Drug Administration (FDA) Breakthrough Therapy and Orphan Drug Designations and are in review with a target FDA decision dates of September 18, 2026, for zidesamtinib and November 27, 2026, for neladalkib. Subject to FDA approval, they are expected to launch in 2026. Nuvalent’s third asset, NVL-330, is a HER2 inhibitor currently in Phase I trials for treating HER2-altered NSCLC.   

Under the agreement, GSK completed a tender offer to acquire all of Nuvalent’s outstanding shares. The aggregate equity value of the transaction is approximately $10.6 billion. Net of cash acquired, GSK’s aggregate investment is approximately $9.4 billion.
